This Copyright and License Agreement, effective as of the thirteenth day of March in the year two thousand and twenty-three, is executed for the sole benefit of Bondage Club Mods, Inc. and its clients, users, and partners (collectively referred to as "BCM" or the "Company"), and regulates the usage of BCM’s software product, entitled “BCME” (“Software”).

1 Designations
1.1 “BCM” shall denote Bondage Club Mods, Inc. and its associated companies, employees, agents, and representatives.

1.2 “Software” shall refer to the BCM Essentials software product, which is a custom menu modification used in connection with the website Bondage Club.

1.3 “User” shall mean any individual or entity that utilizes or accesses the Software, either directly or indirectly, in any manner.

2 Copyright and Proprietorship
2.1 BCM is and shall continue to be the rightful owner of all copyrights and other intellectual property rights in the Software, including all alterations and derivative works made thereto, and all support, maintenance, and other services provided in connection with the Software.

2.2 The User is granted a non-exclusive, non-transferable, revocable, limited license to use the Software, subject to the provisions and conditions of this Agreement.

3 Limitations
3.1 The user shall not engage in, nor permit any third party to engage in, the following actions:

3.1.1 Modify, adapt, alter, translate, or create derivative works of the Software;

3.1.2 Copy, reproduce, distribute, sublicense, or otherwise transfer or make available the Software, or any part thereof, to any third party;

3.1.3 Reverse engineer, decompile, or disassemble the Software, or attempt to discover its source code or algorithms;

3.1.4 Remove, alter, or obscure any proprietary notices or labels appearing on or in the Software;

3.1.5 Utilize the Software for any purpose other than as expressly authorized in this Agreement; or

3.1.6 Utilize the Software in any manner that violates any applicable law, regulation, or rule.

4 Intrinsic Rights
4.1 The User acknowledges and agrees that the Software is the exclusive property of BCM, and that BCM possesses all right, title, and interest in and to the Software and all associated intellectual property rights.

4.2 The User shall not take any action that would cause any of BCM’s rights in the Software to be diminished, impaired, or otherwise affected in any manner.

5 Warranties
5.1 BCM represents and warrants that it has the complete right and authority to enter into this Agreement and to grant to the User the rights set forth herein.

6 Indemnification
6.1 The User shall indemnify, defend, and hold harmless BCM, its affiliates, and its and their respective officers, directors, employees, agents, successors, and assigns from and against all liabilities, damages, losses, costs, and expenses, including attorneys’ fees, arising out of or related to any claim or action brought against BCM based upon or arising out of the User’s use of the Software or any breach of this Agreement.

7 Disclaimer of Warranties
7.1 The software is provided “as is,” and BCM makes no warranties, express or implied, with respect to the software, or any other materials or services provided under this agreement. BCM expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8 Restriction of Liability
8.1 In no event shall BCM be liable for any indirect, incidental, special, or consequential damages arising out of or related to this agreement, whether in an action in contract or tort or based on a warranty, even if BCM has been advised of the possibility of such damages.

8.2 The total liability of BCM, whether in contract, tort, or otherwise, under this agreement shall not exceed the amount paid by the user for the software.

9 Changes and Updates
9.1 BCM reserves the right to modify, change, or update the Software at any time. The User shall be responsible for all updates to the Software and for any additional fees associated with such updates.

9.2 BCM may from time to time provide updates or enhancements to the Software, but is not obligated to do so. The User acknowledges that any such updates or enhancements to the Software may be subject to additional terms and conditions and may require the User to agree to additional license agreements.

10 Termination
10.1 This Agreement shall remain in effect until annulled by either BCM or the User. BCM may terminate this Agreement at any time, with or without cause. The User may terminate this Agreement at any time by ceasing utilization of the Software.

10.2 Upon termination of this Agreement, the User shall immediately cease all use of the Software and shall promptly return to BCM all copies of the Software, including any modifications or derivative works made thereto.

11 Governing Law
11.1 This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States of America, without giving effect to its conflict of laws principles.

11.2 The User agrees that any legal action or proceeding arising out of or related to this Agreement shall be brought exclusively in the courts located in the State of California, and the User hereby consents to the jurisdiction of such courts.

12 Arbitration
12.1 All disputes arising out of this Agreement shall be subject to binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

12.2 The arbitration shall be conducted in the English language in the State of California.

12.3 The award rendered by the arbitrator(s) shall be binding and judgment may be entered upon it in any court having jurisdiction thereof.

13 Data and Privacy Policy
13.1 BCM does not collect data for analytics purposes or to enhance the quality and performance of its services.

13.2 All data collected by BCM for various purposes, including improving the User's experience, providing an alternative account identification system, and gathering data analytics for future decisions. BCM unequivocally commits to utilizing this data solely for the purposes explicitly stated in the Agreement and shall not disclose or disseminate any such data to any third parties in the absence of the User's express consent, except as mandated by applicable law. The User duly acknowledges and consents to BCM's irrevocable collection and utilization of the aforementioned data as explicitly outlined in the Lisence Agreement.

13.3 Users are granted the option to opt out of non-essential data collection. Such non-essential data may include information related to monetary transactions, font preferences, chat color themes, arousal progress, and local IP addresses.

14 Miscellaneous
14.1 This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral, between the parties with respect to the subject matter hereof.

14.2 This Agreement may not be amended except by a written instrument executed by both parties.

14.3 The User may not assign this Agreement or any of its rights or obligations hereunder without the prior written consent of BCM.

14.4 This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns.

14.5 Any delay or failure by either party to exercise any right or remedy under this Agreement shall not constitute a waiver of such right or remedy.

14.6 The headings contained in this Agreement are for reference purposes only and shall not affect the meaning or interpretation of this Agreement.

14.7 The language of this Agreement shall be construed as a whole according to its fair meaning and not strictly for or against any party.
